1. Acceptance of Terms

By accessing or using the tryneedl.ai platform (the “Service”), available at tryneedl.ai, you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you may not use the Service. tryneedl.ai reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Effective Date” above. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Description of Service

tryneedl.ai is an AI-powered career platform that helps job seekers prepare for interviews, build application materials, and represent themselves to hiring managers through a conversational AI agent. The Service includes, but is not limited to:

  • AI-guided coaching sessions for interview preparation and self-discovery
  • A shareable AI agent that represents your professional profile to recruiters and hiring managers
  • Job application pipeline tools including readiness analysis, tailored resume generation, cover letter generation, interview tracking, and contact management
  • AI-guided reference interviews and reference management
  • Persona distillation and skills inventory features

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify tryneedl.ai immediately of any unauthorized use of your account.

If you use the Bring Your Own Key (“BYOK”) subscription plan, you are solely responsible for the security and management of your third-party API keys. tryneedl.ai stores these keys using encrypted vault storage but is not liable for any unauthorized use resulting from your failure to protect your credentials.

5. Subscription Plans and Payment

tryneedl.ai offers multiple subscription tiers, including free trial, BYOK, Full-Service, and Enterprise plans. Pricing, features, and usage limits for each plan are described on the tryneedl.ai website and may change from time to time.

  • Free Trial: Provides limited access to the Service for a period of 7 days with no credit card required. Daily usage caps apply.
  • Paid Plans: Subscriptions are billed on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorize tryneedl.ai to charge the applicable fees to your designated payment method.
  • Renewals and Cancellation: Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are provided for partial periods.
  • Price Changes: tryneedl.ai may change subscription pricing with at least 30 days’ prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. User Content and Data Ownership

6.1 Your Content

You retain full ownership of all content you provide to the Service, including resumes, professional history, coaching session responses, reference information, and any other data you submit (“User Content”). By using the Service, you grant tryneedl.ai a limited, non-exclusive, worldwide license to use, process, and store your User Content solely for the purpose of providing and improving the Service. We anonymize your conversations before storing them. We store your resume and API key in secure vault storage. Please see our Privacy Policy for more information.

6.2 AI-Generated Content

The Service generates content on your behalf, including tailored resumes, cover letters, readiness analyses, coaching feedback, and AI agent responses (“Generated Content”). You own the Generated Content produced from your User Content. However, you acknowledge that Generated Content is produced by AI and may require your review and editing before use. tryneedl.ai does not guarantee the accuracy, completeness, or suitability of any Generated Content.

6.3 Data Export and Deletion

You may export or delete your data at any time in accordance with our Privacy Policy. Upon account deletion, tryneedl.ai will remove your User Content from active systems within 30 days, subject to any legal retention obligations.

7. AI Agent and Shared Access

The Service allows you to create a shareable AI agent that can be accessed by third parties (such as recruiters and hiring managers) via a unique link. You are responsible for managing the visibility settings and trust levels that control what information your AI agent discloses. tryneedl.ai is not responsible for any consequences arising from information shared through your AI agent, including any decisions made by third parties based on interactions with your agent.

Third parties who interact with your AI agent do so with the understanding that they are communicating with an AI system, not with you directly. tryneedl.ai does not guarantee that third-party users will treat AI agent responses in any particular manner.

8. References

If you invite professional references to participate in AI-guided reference interviews, you represent and warrant that you have obtained their consent to participate. Reference data is access-controlled and will only be shared with third parties in accordance with the sharing settings you configure. tryneedl.ai is not responsible for the content of reference responses.

9. Acceptable Use

You agree not to use the Service to:

  • Submit false, misleading, or fraudulent information about your qualifications, experience, or identity
  • Impersonate another person or misrepresent your affiliation with any person or entity
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models, algorithms, or training data
  • Use the Service to harass, abuse, or harm others
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated tools (bots, scrapers, etc.) to access the Service except as expressly permitted
  • Violate any applicable law, regulation, or third-party rights
  • Share your account credentials or API keys with unauthorized parties

tryneedl.ai reserves the right to suspend or terminate your account if you violate these acceptable use provisions.

10. Intellectual Property

The Service, including its design, software, features, documentation, and branding (but excluding User Content and Generated Content), is the property of tryneedl.ai and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

11. Third-Party Services

The Service integrates with third-party services, including Anthropic (Claude AI models), OpenAI (for BYOK users), Stripe (payment processing), and Supabase (authentication and data storage). Your use of these third-party services is subject to their respective terms of service and privacy policies. tryneedl.ai is not responsible for the availability, accuracy, or practices of any third-party service.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. tryneedl.ai specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, tryneedl.ai does not warrant that:

  • The Service will be uninterrupted, error-free, or secure. Please see our Privacy Policy for more information.
  • AI-generated content will be accurate, complete, or suitable for any particular purpose
  • Use of the Service will result in employment or any particular hiring outcome
  • Third parties (including hiring managers and recruiters) will rely on or respond favorably to your AI agent or Generated Content

You acknowledge that AI-generated content may contain errors, inaccuracies, or biases, and that you are solely responsible for reviewing and verifying all content before using it in any professional context.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, tryneedl.ai AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, EMPLOYMENT OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

NEEDL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO tryneedl.ai IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless tryneedl.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any information shared through your AI agent.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

16. Termination

You may terminate your account at any time by contacting tryneedl.ai or using the account deletion feature in your settings. tryneedl.ai may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6 (User Content and Data Ownership), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) shall survive any termination of these Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to the personal jurisdiction of such courts.

18. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and tryneedl.ai regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Needl’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without Needl’s prior written consent. tryneedl.ai may assign these Terms without restriction.
